1Agreement to these Terms
These Terms of Service (“Terms”) are a binding agreement between Moserly Technologies Private Limited (“Moserly”, “we”, “us”) and the organisation that subscribes to or uses the Services (“Client”, “you”). By signing up, accepting these Terms in-product, or using the Services, you agree to them. If you accept on behalf of an organisation, you confirm you are authorised to bind it. These Terms incorporate our Privacy Policy, Acceptable Use Policy, DPA & AI Addendum and Refund & Cancellation Policy.
2Definitions
- Services — the Moserly platform, including “Moserly Reports”, the website and related features.
- Client Content — the files, data, sample outputs and descriptions you upload or provide.
- Authorised User — a person you permit to access your account (Owner, Admin, Operator or Viewer).
- Subscription — your paid plan, billing cycle and any one-time set-up services.
- Setup Assistant — the onboarding feature that uses AI to draft rules for your review.
3Eligibility & accounts
You must be a business or professional entity capable of forming a binding contract under Indian law. You are responsible for all activity under your account, for keeping credentials confidential, and for your Authorised Users’ compliance with these Terms. Roles and permissions (Owner, Admin, Operator, Viewer) determine what each user can do; project setup and rule configuration are performed by Moserly as part of onboarding. Notify us immediately of any unauthorised access.
4The Services
Moserly ingests the operational files you upload, validates them, applies the calculation and mapping rules confirmed for your projects, and generates output reports (Excel/PDF). Moserly does not replace your existing software (FMS, ERP, Tally, CRM and the like); it automates the manual post-processing your team performs on top of them. We may improve, change or discontinue features; we will give reasonable notice of materially adverse changes to a paid feature you rely on.
5Onboarding & your responsibility for rules
During onboarding, our Setup Assistant drafts rules from samples you provide (see the Privacy Policy §6 and the AI Addendum). AI-drafted rules are suggestions only and are never applied automatically. A project becomes active only after the rules have been validated against your sample data and confirmed by a human. You are responsible for reviewing and approving the rules and mappings that govern your reports, and for ensuring the accuracy and legality of the Client Content you upload. The current engine processes rules row-wise; certain aggregate/whole-dataset and distinct-count operations are limited or unsupported and will be communicated during onboarding.
6Your data & content
As between you and Moserly, you own your Client Content. You grant us a limited licence to host, process and transmit it solely to provide the Services and as described in the DPA. You are responsible for having the rights and consents needed to upload it, including for any third-party personal data it contains. We act as your Data Processor for Client Content under the DPA.
7Fees, billing & mandates
- Fees are as quoted at sign-up or in your order/plan. Our standard plan is the Automation Starter at ₹5,000 per month; custom solutions are quoted separately. Certain engagements also carry a one-time software installation, setup and creation fee.
- All fees are in Indian Rupees (INR) and are exclusive of GST and other applicable taxes, which will be added and reflected on a GST-compliant invoice.
- Recurring subscriptions are billed via an authorised payment mandate (NACH e-mandate or UPI Autopay) through our gateway. By setting up a mandate you authorise recurring debits for your plan until you cancel.
- If a payment fails, a grace period of seven (7) days applies, during which we may retry the charge and notify you. If it remains unpaid, your active projects may be automatically paused until payment is restored.
8Refunds, cancellation & suspension
Subscription fees are non-refundable once a billing cycle has begun, and any one-time installation/setup/creation fee is non-refundable. You may cancel at any time; cancellation takes effect at the end of the current paid cycle and stops future debits. Full details, including how we handle failed payments and reinstatement, are in our Refund & Cancellation Policy. We may suspend or limit access for non-payment, a breach of these Terms or the Acceptable Use Policy, or to protect the security or integrity of the Services.
9Acceptable use
Your use of the Services is subject to our Acceptable Use Policy, which is incorporated into these Terms. Among other things, you must not upload unlawful content, infringe others’ rights, attempt to breach security or multi-tenant isolation, or use the Services to build a competing product.
10Availability & support
We aim to keep the Services available and reliable but do not guarantee uninterrupted operation. Maintenance, third-party outages and events beyond our reasonable control may cause downtime. Support is provided by email at info@moserly.com. Any specific service levels, if offered, will be stated in a separate written SLA or order.
11Intellectual property
Moserly, the Moserly and Moserly Reports names and logos, the platform, its software, rule engine and documentation are and remain the exclusive property of Moserly Technologies Private Limited and its licensors. Except for the limited right to use the Services under these Terms, no rights are granted to you. You must not copy, reverse-engineer, resell or create derivative works from the Services. Feedback you give us may be used to improve the Services without obligation to you.
12Confidentiality
Each party may receive confidential information of the other. The receiving party will protect it with reasonable care, use it only to perform under these Terms, and not disclose it except to personnel or advisers bound by confidentiality, or as required by law. Client Content is your confidential information.
13Disclaimers
The Services are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. Reports are generated from the Client Content you upload and the rules you confirm; you are responsible for reviewing outputs before relying on them, and Moserly is not responsible for decisions you make based on reports produced from inaccurate inputs or misconfigured rules you approved.
14Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, goodwill or data. Moserly’s total aggregate liability arising out of or relating to the Services in any twelve-month period will not exceed the total fees actually paid by you to Moserly for the Services in that period. Nothing limits liability that cannot be excluded under applicable law.
15Indemnity
You agree to indemnify and hold harmless Moserly Technologies Private Limited, its directors, officers and personnel from claims, damages and reasonable costs arising from your Client Content, your breach of these Terms or the Acceptable Use Policy, or your violation of law or third-party rights.
16Term & termination
These Terms apply while you use the Services or hold an account. Either party may terminate for material breach not cured within a reasonable notice period; you may cancel your subscription as described in Section 8. On termination, your right to use the Services ends, accrued fees remain payable, and Client Content is handled per the DPA. Sections that by their nature should survive (including IP, confidentiality, disclaimers, liability, indemnity and governing law) survive termination.
17Changes to the Terms
We may revise these Terms. We will update the version and effective date and, for material changes, provide notice or request re-acceptance in-product. Continued use after changes take effect constitutes acceptance.
18Governing law & jurisdiction
These Terms are governed by the laws of India. The courts at Gurugram, Haryana shall have exclusive jurisdiction over any dispute, subject to any right of a party to seek urgent interim relief elsewhere as permitted by law. The parties will attempt in good faith to resolve disputes amicably before litigation.
19General
These Terms (with the incorporated policies) are the entire agreement between the parties on their subject matter. If any provision is held unenforceable, the rest remains in effect. Our failure to enforce a right is not a waiver. You may not assign these Terms without our consent; we may assign them to an affiliate or successor. Neither party is liable for delay or failure due to events beyond its reasonable control.
